Idle Work Supported Regions Policy

This policy states where Idle Work offers its Services, where Customer data is processed, and the countries and persons to which the Services may not be provided. It is incorporated by reference into the Idle Work Commercial Terms of Service.

1. Where We Sell

The Services are offered to organisations that are established in, and operate from, the United States of America. To open an account, the Customer must have a US business address, a US billing address, and a US-based person with authority to bind the Customer. Idle Work may ask for evidence of any of these before or after provisioning, and may decline or close an account that does not meet them.

Idle Work is based in Floral Park, New York, and its Customers today are concentrated in the New York metropolitan area, but the Services are available to businesses anywhere in the United States.

2. Where Data Is Processed

Agent Machines, the client portal, and backups run on servers Idle Work owns and operates in the United States. The subprocessors listed in the Data Policy may process data in the United States and, for global edge services such as DNS and TLS termination, at their points of presence elsewhere. AI inference is routed only to a provider with a published zero-retention policy.

Customers should assume that all Customer Content is stored in the United States and is subject to United States law.

3. Contacts Outside the United States

A US Customer may use its agents to communicate with its own customers, suppliers and contacts wherever they are, subject to the Usage Policy, the rules of each channel provider, and the laws that apply to messaging those recipients, including any local consent, data-protection or language requirements. Idle Work makes no representation that the Services comply with the laws of any country other than the United States. Where the Customer's own use of the Services makes it subject to non-US data-protection law, the Customer is responsible for meeting that law, and Idle Work will consider requests for additional contractual terms case by case.

4. Channels by Region

The channels Idle Work supports (WhatsApp, Slack, Microsoft Teams, Telegram, Discord, email, and web chat on the Customer's own site) are each operated by a third party whose availability varies by country and can change without notice. Idle Work does not warrant that any channel is available, lawful or uninterrupted in any particular country, and channel availability outside the United States is not part of the Services.

5. Countries and Persons We Do Not Serve

Idle Work does not provide the Services, and the Customer may not export, re-export, or provide access to the Services, in violation of United States export control or sanctions law. In particular, the Services may not be provided to, accessed from, or used for the benefit of:

• Any country or territory that is the target of comprehensive United States sanctions, or any government of such a country or territory;
• Any person or entity on the US Treasury Department's Specially Designated Nationals list, the US Commerce Department's Entity List or Denied Persons List, or any similar restricted-party list, or any entity owned or controlled by such a person;
• Any end use prohibited under the US Export Administration Regulations.

The Customer represents that neither it nor any of its Users is such a person, and must notify Idle Work immediately if that changes. Idle Work may suspend or terminate access without notice where it reasonably believes this section is being breached.

6. Requests from Outside the United States

If your business is established outside the United States and you would like to use Idle Work, contact us. We keep a list of interest by country and will say plainly whether and when we expect to support yours. We do not accept payment from, or provision agents for, businesses outside the United States in the meantime.

7. Changes to This Policy

We expect to add regions over time and will update this page when we do. Additions take effect on posting. Removals, and any change that affects an existing Customer, take effect 30 days after posting or on written notice, except changes required by law, which take effect immediately.
