Platform Terms of Service

These Terms of Service govern your use of the Idle Work platform and services. By accessing or using our services, you agree to these terms. Please read them carefully before proceeding.

1. Acceptance of Terms

By creating an account, accessing, or using the Idle Work platform, you confirm that you are at least 18 years old and agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not access or use the platform.

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of the platform after any such changes constitutes your acceptance of the revised terms.

2. Description of Services

Idle Work Inc. provides AI employee agents that operate across messaging and communication channels to handle tasks on behalf of your business. Our services include:

• AI employee agents configured to perform specific business functions
• Integration with the following communication channels: WhatsApp, Slack, Microsoft Teams, Telegram, Discord, and Email
• Dashboard access for managing agent behavior, reviewing conversations, and configuring channel settings

Our platform does not include phone or voice calling capabilities. All agent interactions occur through text-based messaging channels only.

We reserve the right to modify, suspend, or discontinue any part of the services at any time, with reasonable notice where practicable.

3. Account Registration

To use our services, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. Idle Work is not liable for losses arising from unauthorized access to your account resulting from your failure to maintain the confidentiality of your credentials.

We reserve the right to suspend or terminate accounts that are used in violation of these terms or that remain inactive for extended periods.

4. Pricing and Payment

Our services are offered at a flat rate of $250 per month per AI employee agent. This rate includes access to all supported communication channels and standard platform features.

Payment is due at the beginning of each billing cycle. We accept major credit cards and other payment methods as indicated on our platform. All fees are non-refundable except as expressly stated in these terms or required by applicable law.

We may adjust our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

5. Acceptable Use

You agree to use the Idle Work platform only for lawful purposes and in accordance with these terms. You must not:

• Use the platform to send spam, unsolicited messages, or content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems
• Use the platform to impersonate any person or entity, or to misrepresent your affiliation with any person or entity
• Interfere with or disrupt the platform's infrastructure or any third-party systems connected to it
• Use automated means to scrape, extract, or collect data from the platform beyond the features we provide
• Resell, sublicense, or redistribute access to the platform without our written permission

6. Intellectual Property

The Idle Work platform, including all software, design, text, graphics, and other content, is owned by Idle Work Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform or included software without prior written consent.

You retain ownership of all content you provide to the platform, such as training data, configuration inputs, and business information. By using the platform, you grant Idle Work a limited, non-exclusive license to process and handle that content solely for the purpose of providing the services.

7. Financial Data Integration and Plaid Consent

Our platform integrates with Plaid, Inc. ("Plaid"), a financial data network, to enable bank account connections and transaction data retrieval. By connecting a bank account through our platform, you expressly acknowledge and consent to the following:

• Plaid's Role: Plaid acts as our service provider to facilitate the connection between your financial institution and our platform. When you connect a bank account, you enter your login credentials directly into Plaid's encrypted Link interface. Idle Work does not receive, access, or store your bank login credentials (username, password, or security questions).
• Data Plaid Collects: Through Plaid's services, Plaid may collect, use, and retain the following categories of data: (a) identifiers such as your name, email address, phone number, and address; (b) login data required by your financial institution, such as username and password or security token; (c) account data, including financial institution name, account name, account type, account number, and routing number; (d) transaction data, including amount, date, payee, and description; (e) balance data, including current and available balance; and (f) device data, including IP address and device identifiers.
• How Plaid Uses Your Data: Plaid uses the data described above to: provide and maintain the connection between your financial institution and our platform; verify your identity and prevent fraud; improve Plaid's services and develop new products; and comply with legal obligations. Plaid may retain your data even after you disconnect your account, as described in Plaid's End User Privacy Policy.
• Data Sharing by Plaid: Plaid may share your data with: its affiliates and service providers to deliver services on its behalf; financial institutions to verify your identity and account ownership; and law enforcement or other third parties when required by law. Plaid does not sell your personal information.
• Express Consent: By connecting a bank account, you expressly authorize Plaid to access, collect, use, retain, and share your data as described above and in Plaid's End User Privacy Policy (available at plaid.com/legal/#end-user-privacy-policy). You also authorize Plaid to act on your behalf to access and transmit data to and from your financial institution. This authorization is given voluntarily and may be revoked at any time by disconnecting your bank account.
• Disconnecting: You may disconnect your bank account at any time through the platform dashboard. Upon disconnection, we will revoke your Plaid access token via Plaid's API. Revoking access does not require Plaid to delete data it has already collected; you may contact Plaid directly to request deletion of your data per their privacy policy.
• Plaid's Terms: Your use of Plaid's services is also subject to Plaid's End User Terms, available at plaid.com/legal, and Plaid's End User Privacy Policy, available at plaid.com/legal/#end-user-privacy-policy. We encourage you to review both before connecting your bank account.
• Our Use of Financial Data: Idle Work receives only the account and transaction data necessary to provide our services. We do not sell your financial data, use it for advertising, or share it with third parties for their own purposes. Transaction data is fetched on demand only and is not permanently stored or shared.

8. Data and Privacy

Your use of the platform is also governed by our Privacy Policy, available at idlework.ai/privacy. Please review it to understand how we collect, use, and protect your data.

We take data protection seriously. Your data is encrypted in transit and at rest, and we do not use your data to train AI models. You retain the ability to export or delete your data at any time through the platform dashboard.

9. Service Level and Availability

We strive to maintain high availability of the platform but do not guarantee uninterrupted or error-free service. Scheduled maintenance windows will be communicated in advance where possible.

Response times and agent performance may vary based on the communication channel, message volume, and complexity of tasks. We do not warrant specific performance benchmarks unless stated in a separate written agreement.

10. Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your access to the platform will cease at the end of your current billing period.

We may suspend or terminate your access immediately if you breach these terms, engage in conduct that could harm Idle Work or other users, or as required by law. In such cases, no refund will be provided for the current billing period.

Provisions that by their nature should survive termination will remain in effect, including sections on intellectual property, limitations of liability, and governing law.

11. Limitation of Liability

To the maximum extent permitted by law, Idle Work Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

Our total liability for any claim arising from these terms or the platform shall not exceed the total fees you paid to Idle Work in the 12 months preceding the event giving rise to the claim.

12. Disclaimers

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will meet your specific requirements, operate without interruption, or be free from errors.

AI-generated responses and actions are provided for general business purposes. You are responsible for reviewing and supervising agent outputs and ensuring they meet your standards and comply with applicable regulations for your industry.

13. Third-Party Services and Outbound Messaging

Some platform capabilities depend on services operated by third parties, including messaging gateways, telephony and SMS providers, email and calendar providers, and other external systems. Where we build an integration to such a service, whether as a standard feature or at your request, that integration is our work product. The third-party service itself is not.

• No Control Over Third-Party Services: We do not own, operate, or control third-party services. Their operators may modify, suspend, restrict, reprice, or discontinue those services, alter their terms or usage allowances, or cease trading, in each case without notice to us. Idle Work Inc. accepts no responsibility or liability for any such event, and no such event constitutes a defect in the platform or a breach of these terms.
• No Delivery Guarantee: We do not warrant that any message or notification routed through a third-party service will be transmitted, delivered, or delivered without delay. Delivery depends on the third-party service, your equipment, your network or carrier, and the recipient's network or carrier, none of which are within our control.
• Your Accounts and Equipment: Where a third-party service requires an account in your name, you are the account holder of record. You are responsible for maintaining that account in good standing, for all fees payable to its operator, for the security of its credentials, and for any device, SIM, or subscription used to send or receive on your behalf.
• Carrier Action: Mobile and network operators may filter, throttle, restrict, suspend, or terminate a number or subscription used for automated or bulk messaging. Any such action is a matter between you and your operator. Where the same number or account is used for more than one service, such action may interrupt those other services as well, and we accept no liability for the resulting interruption.
• Messaging Compliance Is Yours: You are solely responsible for compliance with all laws applicable to messages sent through the platform, including without limitation the Telephone Consumer Protection Act and analogous legislation, and applicable industry codes of practice. This includes obtaining and retaining evidence of each recipient's consent to be contacted, honoring opt-out requests such as a reply of STOP, and determining who may lawfully be contacted and for what purpose. We provide a technical facility. You determine the recipients, content, timing, and volume.
• Scope of Our Obligation: Our obligation is limited to the integration. Where an integration fails to operate as specified, we will remedy it. We are under no obligation to maintain, restore, procure, or substitute any third-party service. Work to adapt an integration to a changed third-party service, or to migrate to an alternative provider, is new work and will be scoped and quoted separately.

14. Governing Law and Miscellaneous

These terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms or the platform shall be resolved in the state or federal courts located in New York.

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right under these terms does not constitute a waiver of that right.

These terms constitute the entire agreement between you and Idle Work Inc. regarding the platform and supersede any prior agreements or understandings.
